Kouvre Rewards Program Terms and Conditions

These Rewards Program Terms and Conditions (the "Rewards Terms") govern your participation in the loyalty programs operated by third-party merchants and facilitated through the Kouvre mobile application (the "App"). By participating in any Merchant loyalty program via Kouvre, you agree to these Rewards Terms.

These Rewards Terms are supplementary to the General Application Terms of Service, the Digital Card Terms, and our Privacy Policy. In the event of a conflict between these Rewards Terms and the General Terms of Service regarding loyalty program mechanics, these Rewards Terms shall prevail.

1. DEFINITIONS

"App" means the Kouvre mobile application and associated digital platforms.

"Kouvre" (also "we", "us", "our") refers to Kouvre Inc., a corporation operating in Montreal, Quebec, acting as a technology service provider and digital loyalty wallet.

"Member" (also "you", "your") refers to a consumer who has registered an account on the App.

"Merchant" means an independent, third-party business (e.g., a restaurant) that uses the App to host and operate its own loyalty program.

"Points" means the digital loyalty points, regardless of the specific branding or naming convention utilized by a Merchant, earned by a Member.

"Rewards Milestone" means the specific products, services, or offers (e.g., a free beverage, a free appetizer) established by a Merchant that can be redeemed in exchange for a specified number of Points.

2. THE KOUVRE PLATFORM AND MERCHANT LOYALTY PROGRAMS

2.1 Independent Programs: Kouvre provides a digital loyalty wallet allowing you to hold multiple digital loyalty cards for various participating Merchants. Points earned at one Merchant are strictly siloed and cannot be transferred, exchanged, or redeemed at another Merchant.

2.2 Role of Kouvre: Kouvre acts solely as the technology platform facilitating the issuance, tracking, and redemption of Points. The underlying Points and Rewards Milestones are the sole property and liability of the respective Merchant. Kouvre is not liable for a Merchant's failure to honor Points or Rewards Milestones, nor for a Merchant ceasing operations or withdrawing from the App.

3. EARNING POINTS

3.1 Standard Earning Rate: Unless otherwise specified by a Merchant, Members earn Points at a standard conversion rate of one hundred (100) Points for every one dollar ($1.00 CAD) spent at a participating Merchant. Merchants reserve the right to establish their own earning ratios and custom branding for Points in the future.

3.2 Eligible Transactions: Points are earned on in-store purchases made at the physical counter of a participating Merchant. Points are calculated based on the transaction subtotal before applicable taxes and gratuities (tips).

3.3 Earning Mechanics: To earn Points, the Member must present their digital loyalty card (QR code) via the App to be scanned by the Merchant's employee prior to completing the payment. Points cannot be claimed retroactively after a transaction has been finalized. Currently, Points are not awarded for delivery orders unless specifically enabled by the Merchant.

4. REDEEMING POINTS

4.1 Rewards Milestones: Merchants independently determine their Rewards Milestones (e.g., 2,000 Points for a beverage, 10,000 Points for an appetizer). Minimum point thresholds for redemption are dictated by the lowest-tier Rewards Milestone offered by the respective Merchant.

4.2 Redemption Process: To redeem Points, the Member must select the desired Rewards Milestone in the App and present the corresponding QR code to the Merchant's employee. Upon scanning and fulfillment of the item, the required Points will be immediately deducted from the Member's balance for that specific Merchant.

4.3 Limitations: Points have no cash value, cannot be exchanged for fiat currency, and cannot be transferred, sold, or gifted to another Member account.

5. EXPIRATION OF POINTS AND INACTIVITY

5.1 No Time-Based Expiration: In accordance with the Consumer Protection Act (Quebec), Points do not expire solely due to the passage of time.

5.2 Expiration Due to Inactivity: Notwithstanding Section 5.1, Kouvre, acting on behalf of the Merchant, may expire your Points associated with a specific Merchant if your loyalty account with that Merchant remains completely inactive for a period of twelve (12) consecutive months. "Inactive" means you have neither earned nor redeemed Points with that specific Merchant.

5.3 Mandatory Notice: In the event of impending expiration due to inactivity, Kouvre will send you a written notice exclusively concerning this subject. This notice will be sent between thirty (30) and sixty (60) days prior to the expiration date, specifying the fact that the inactivity will result in the expiration of the Points and indicating the exact date of expiration.

6. PROGRAM MODIFICATIONS AND VALUE PRESERVATION

6.1 Adjustments to Earning Ratios: If a Merchant elects to change their earning ratio (e.g., transitioning from 100 Points per $1 CAD to 1,000 Points per $1 CAD), Kouvre will retroactively and proportionately update the Member's previously accumulated Points balance with that Merchant to ensure the relative purchasing power of the Member's accrued Points is not devalued.

6.2 Adjustments to Redemption Costs: If a Merchant increases the number of Points required to redeem a Rewards Milestone:

  • New Members: The new rate applies immediately.
  • Existing Members (Grandfathering): In accordance with Quebec consumer protection standards preventing the unilateral disproportionate devaluation of accumulated rewards, existing Members will be grandfathered. The prior, more favorable redemption rate will be preserved and applied to the existing Member until they complete their next Rewards Milestone redemption. Subsequent to that single redemption, the new redemption rates will apply to the Member.

6.3 General Modifications: Subject to the Consumer Protection Act (Quebec), Kouvre and participating Merchants reserve the right to amend, suspend, or terminate a loyalty program. Any modifications that affect an essential element of a loyalty program (to the detriment of the Member) will be communicated via written notice to the Member at least sixty (60) days before the amendment comes into force, detailing the new clause, the date of its coming into force, and the Member's right to refuse the amendment or cancel their participation.

7. MERCHANT WITHDRAWAL OR TERMINATION

If a Merchant ceases operations, goes into bankruptcy, or terminates their partnership with Kouvre, the Points associated with that Merchant may become permanently unredeemable. Kouvre will make commercially reasonable efforts to notify affected Members within the App, but Kouvre holds no financial obligation or liability to compensate Members for unredeemable Points resulting from a Merchant's actions or business failure.
